ACCOUNT MANAGER

You will be assigned a dedicated account manager who will be your primary point of contact. He or she will oversee your account on a daily basis to ensure that the ad spend is within range and that the campaign is performing adequately.

ACCOUNT SETUPS:

To ensure a successful campaign launch, your assigned Account Manager will perform and/or direct necessary actions including an onboarding/welcome call, getting access to your social accounts, basic social media audit, social media account setup & optimization, the creation of content examples, and dashboard setup.

Note: These actions may vary depending on what is discovered during the audit and review portion of these setups.

CUSTOM SOCIAL MEDIA STRATEGY

AGM’s Branding Department will create a written social media strategy that covers the steps we will take to help you capture more attention online through your content on up to 5 platforms. This strategy will include:

  • Recommendations based on audit findings
  • Social media platforms we suggest posting on*
  • Proposed content types and examples**
  • A posting schedule

*Note: The exact platforms we recommend posting on will be specified on your Custom Social Media Strategy. In most cases, this will include YouTube, Facebook, Instagram and TikTok, but depending on your brand and audience, we may suggest other platforms such as Pinterest, LinkedIn, Anchor (Podcast), etc.

**Note: At least one long-form video will need to be provided in order to create the content examples.

CONTENT IDEAS

Your dedicated Account Manager will work with you to clearly define your brand message and provide topics, titles, and research to help you create long-form video content. You can expect 9-12 new content ideas per month.

CONTENT CREATION

AGM’s Creative Team of video editors and graphic designers will edit your existing long-form video content and turn it into various forms of polished video and graphic content formatted for the platforms included in your Social Media Strategy. AGM’s Copywriting Team will also create captions and hashtags for each post.

CONTENT APPROVAL DASHBOARD

As content is produced, you and your team will be given access to a shared dashboard where you’ll be able to review the completed content we produce. This will give you an opportunity to request changes and ensure that the content going out is to your liking. Note: Content approval is up to you. If at any point you would prefer that we just make and post content, we can eliminate this step!

CONTENT SCHEDULING & POSTING

AGM’s Content Scheduling Team will post or schedule* up to 360 posts* across the platforms included in your Social Media Strategy. This includes video editing for up to 3 long-form videos per week.

*Please note that posting and scheduling will not occur until all setups are complete. As this does require coordination with you, the client, this can sometimes take up to 4 weeks to begin.

**The number of posts does not mean unique pieces of content. For example, one edited vertical clip could potentially be 3-5 different posts on various platforms and placements.

MONTHLY REPORTING

Your dedicated Account Manager will send you monthly reports that cover the key metrics we use to measure content performance and overall growth.

CONSULTING AND SUPPORT

This service includes one monthly meeting with your dedicated Account Manager to discuss results and any changes needed for the overall strategy and content. This may sometimes include other departments as needed to stay coordinated on the implementation of your social media strategy. You’ll also be able to email your Account Manager anytime with questions you might have.

TERMS AND CONDITIONS

PERIOD OF AGREEMENT AND NOTICE OF TERMINATION

At AGM, we want to make sure that we provide you with not only RESULTS but realistic expectations. As with any Marketing Campaign, results are never instant, as much as we would all love for them to be! To ensure enough time to start your custom Marketing Campaign, evaluate and optimize our efforts, and ultimately, achieve results, this agreement would be active for a minimum of 6 months.

If for some reason, you decide to discontinue our relationship, we require a 30-day notice and you will be sent a final bill that includes a 10% contract cancellation fee. This will take your remaining months in the agreement, add them up and bill you 10% of that balance.

CLIENT OBLIGATIONS

This service requires that you provide us with enough new content to fulfill our contractual obligations. Depending on your plan and the length of your videos, this could be anywhere between 1-7 videos/week that are each at least 5-10 minutes long. This content should be recorded horizontally at 4K resolution or higher. Ideally, this content is unedited, as this will allow more flexibility for our editing team and potentially yield more short-form content.

TECHNICAL SUPPORT

AGM does not provide technical support for applications outside of those included in the deliverables. 

CHANGES AND REVISIONS

All creatives, including but not limited to blogs, articles, emails, sales copy, landing pages, etc. are allowed up to 3 changes. Additional charges will be billed separately.

CHARGES FOR SERVICES PERFORMED

Requests above and beyond the services listed here would be considered out-of-scope and the additional service(s) would be billed separately. Where needed, an amendment to the budget will be recommended.

BILLING SCHEDULE

All invoices are due upon receipt. The total marketing retainer fee for services rendered is {total_monthly} per month + 10% of the amount spent on ads.

CLIENT RESPONSIBILITY FOR ACCURACY

You shall be responsible for the accuracy, completeness, and propriety of information concerning your products and services which you furnish to us verbally or in writing in connection with the performance of this Agreement.

CLIENT AGREEMENT TO PAY

You agree to pay our initial (1st) invoice upon agreement of this contract. From there on, every invoice after that will have a 5-business day payment term. In the event payment is not made within 5 business days, AGM Marketing Agency will charge a late payment fee of $75 dollars per month, to cover the manpower, interest, and other costs. AGM Marketing Agency reserves the right to stop work until payment is received.

AGM'S RESPONSIBILITY FOR RELEASES

If applicable, we shall obtain releases, licenses, permits or other authorization to use testimonials, copyrighted materials, photographs, artwork or any other property or rights belonging to third parties obtained by us for use in performing services for you.

TERMINATION FOR CAUSE

Either party to this Agreement may terminate the Agreement if the other party defaults in the performance of any of its material duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default, or if the default is not reasonably curable within said period of time, unless the defaulting party commences cure within said period of time and diligently proceeds to cure the default.

TRANSFER OF MATERIALS

Upon termination of this agreement provided that there is no outstanding indebtedness then owing You to AGM Marketing Agency, AGM Marketing Agency shall transfer, assign and make available to You, all property and materials in its possession or control belonging to You. You agree to pay for all costs associated with the transfer of materials.

GOVERNING LAW

This Agreement shall be governed and construed in accordance with the laws of the state of Florida.

ENTIRE AGREEMENT

Except as otherwise set forth or referred to in this Agreement, this Agreement constitutes the sole and entire Agreement and understanding between the parties hereto as to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of every kind and nature between them as to such subject matter.

REFUND POLICY

If you are unhappy with the services provided, we will make every effort to correct and fix it. However, as marketing is only one portion of an organization and is contingent upon many other factors (such as sales processes, websites, lead nurturing, customer service, etc), we cannot guarantee results or offer any refunds on previous services rendered. 

RESULTS MAY VARY

Your results using AGM Marketing’s services may vary from our client testimonials or case studies. Your results will be based on many variables, such as your level of effort, business acumen, personal qualities, knowledge, skills, advertising budget, and a number of other factors. Since these factors differ for each individual, we cannot guarantee your success, results, or income level, nor are we responsible for your success or failure. AGM Marketing is not a “get rich quick scheme.” It takes lots of time, effort, and dedication. We believe that we provide you with a great platform to market and grow your brand to reach the revenue goals that you desire.

INDEMNIFICATION CLAUSE

You are solely responsible for any liability arising out of or related to the Client Provided Materials, as well as the Client’s use of the Product for any purpose. You agree to indemnify and hold harmless AGM Marketing 2.0 Inc from and against any and all liabilities, losses, damages, costs, and expenses, including reasonable attorney fees and experts’ fees, associated with any claim or action brought against AGM Marketing Inc related to or arising out of the Client, Provided Materials and Client’s use of the Product for any purpose. This indemnification agreement will survive the termination of this agreement.
